Terms and Conditions - Driver Account

1.1 Purpose

These Terms and Conditions ("Terms") establish the legal framework governing the use of Rideon by Citrus, a digital platform operated by Citrus Labs Limited.

1.2 Acceptance

By accessing or using the Rideon by Citrus platform, you confirm that you have read, understood, and agreed to be bound by these Terms. If you do not agree, you must refrain from using the service.

2.1 Eligibility

The platform is available exclusively to duly licensed taxi and PSV drivers in Kenya.

2.2 Account Identification

Rideon does not require password-based accounts. Driver identification is established through the vehicle license plate number, which is automatically mapped to the relevant PSV organization.

2.3 Responsibility

You are responsible for the accuracy of all data you provide and for maintaining the confidentiality of transaction references generated by the system.

3.1 Scope of Services

Rideon by Citrus provides drivers with the ability to:

• Initiate and record rides
• Calculate fares automatically in accordance with PSV organization rates
• Process passenger payments through integrated M-Pesa services
• Review ride history and outstanding balances

3.2 Limitations

The service does not provide passenger accounts. Availability is subject to mobile connectivity, M-Pesa infrastructure, and Google Maps integrations.

4.1 Lawful Use

You agree to use the platform solely for lawful PSV operations and in accordance with applicable Kenyan laws and regulations.

4.2 Prohibited Conduct

You must not:

• Manipulate fare or distance calculations
• Submit fraudulent payment records
• Evade surcharges, penalties, or debt clearance obligations

5.1 Compliance

Rideon by Citrus processes driver data in accordance with the Kenya Data Protection Act, 2025, and the Kenya Cloud Policy 2025.

5.2 Data Processing

Your personal, trip, and payment data are collected strictly for operational purposes, including fare processing, debt tracking, and fraud prevention.

5.3 Data Transfers

Data is stored primarily within Kenya, with permitted cross-border backups in compliance with Kenyan law.

6.1 Ownership

All intellectual property in Rideon by Citrus, including software, content, and branding, is owned by Citrus Labs Limited.

6.2 License

Drivers are granted a limited, non-exclusive, non-transferable license to use the platform strictly for PSV operations.

7.1 Charges

• A service charge, either flat or percentage-based, is applied per ride as determined by your PSV organization.
• Manual payments or cash transactions attract surcharges and penalty fees as specified in the system.

7.2 Billing and Refunds

• Transactions are processed per trip.
• Refunds are limited to verified system errors and will not apply to user mistakes or misreporting.

8.1 Uptime

Citrus Labs Limited strives to maintain 99% service uptime, excluding planned maintenance.

8.2 Downtime

Planned maintenance or unexpected outages will be communicated through in-app notices, SMS, or email.

9.1 Disclaimer

The service is provided "as is." Citrus Labs Limited makes no warranties regarding uninterrupted access, accuracy of third-party integrations (such as M-Pesa), or error-free operation.

9.2 Indemnity

You agree to indemnify and hold harmless Citrus Labs Limited against claims, damages, or losses resulting from misuse, fraudulent activities, or non-compliance with PSV regulations.

10.1 By User

You may discontinue using Rideon at any time.

10.2 By Platform

Citrus Labs Limited reserves the right to suspend or terminate access for breach of these Terms, fraudulent activity, or failure to settle outstanding debts.

11.1 Regulatory Compliance

All services operate in compliance with the Kenya Cloud Policy 2025 and applicable laws governing transport and data protection.

11.2 Disclosures

Citrus Labs Limited may disclose driver data where required by Kenyan law, regulation, or lawful authority.

12.1 Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of Kenya. Jurisdiction rests with the courts of Kenya.

12.2 Alternative Dispute Resolution

Parties are encouraged to pursue mediation or arbitration before litigation, in accordance with Kenyan dispute resolution frameworks.

13.1 Updates

Citrus Labs Limited may update these Terms to reflect changes in law, technology, or service improvements.

13.2 Notification

Changes will be communicated via in-app notices, SMS, or email, and will take effect on the stated effective date.
